Resolutions of the 10th (San Jose) MPEG-4 Industry Forum Meeting

  1. Quorum:There are 98 Full Members and 5 Associate Members in good standing as of June 24, 2002. Quorum requires 30% of members in good standing to be at the meeting.

    Thirty (30) member companies attended the 10th Meeting, and quorum was achieved.

  2. New Members: The Membership and Nominating Committee has accepted all applicants that have paid their dues and signed the Statutes as new members.

    The following companies and organizations joined M4IF since the 8th (Barcelona) meeting:
    1. Univ. of Tennessee (ViDe project)
    2. AGFA Monotype Corp.
    3. DRM Digital Radio Mondiale
    4. Pace Soft Silicon Limited
    5. Sigma Designs
    6. RealNetworks
    7. Munich Univ. of Technology
    8. Sci-Worx GmbH
    9. Equator Technologies
    10. SHS Multimedia

    The following Companies resigned from M4IF, or are suspended, and will be removed as a M4IF Member if payment is not received within the 90-day period given for payment:

    Nogatech was acquired by Zoran, also a member company.
    Interra was acquired by Manystreams, which also acquired Interra's membership.
    Luxxon is now Mediator Technology.

    The list of members is continuously updated and made available on the public part of the M4IF website.

  3. Audit of the Books: M4IF takes note of the report of the auditing committee (m4-out-20019) for fiscal year 2000-2001 and accepts the report's findings that the finance and accounting operations of M4IF are being handled properly. The General Assembly resolves to approve the books for the Fiscal Year 2000-2001.

    M4IF thanks the Audit and Finance Committee for its efforts.

  4. Budget for 2002-2003: The General Assembly approves the budget as presented by the Finance and Audit Committee and the Board of Directors (m4-out-20020). This approval includes the recommendation to keep annual membership fees for 2002-2003 at $3,000 USD for Full members (prorated to $2,000 for members that join on or after January 1st 2003), and $300 for Associate Members.

  5. Statutes: The General Assembly approves the amended statutes (m4-out-20021).

  6. Board of Director Elections: M4IF General Assembly approves the election of the following four individuals to serve as Board members for a two-year term beginning July 1st, 2002:
    • Shawn Ambwani, Envivio
    • Ramzi Haidamus, Dolby Labs
    • Peter Haighton, VideoSpheres
    • Sebastian Moeritz, dicas GmbH
    Jan van der Meer and Tim Schaaff will continue under their 2-year term until June 30, 2003. Five current Board members will continue under a 3-year term ending June 30, 2003. These five are Marcelo Halpern, Rob Koenen, Tokuyo Kogure, Weiping Li, Sang-il Park.
    Tim Schaaff is appointed as Vice President
    Marcelo Halpern will continue as Secretary
    Sebastian Moeritz is appointed as Treasurer
    Rob Koenen will continue as President

    M4IF thanks all candidates and nominees for making themselves available for a board position, and also thanks the candidates that gave up their candidacy in favor of other candidates.

  7. MPEG Industry Forum: M4IF takes note of the proposal from Peter Schirling (M4IF member) and Kate Grant (MPEG-7 stakeholder) to investigate possible ways of cooperating with other MPEG-related Industry Forums, in particular the MPEG-7 Alliance that is being formed, and any future organization concentrating on MPEG-21. A Board-level Committee with non-Board participation was created to investigate the options.

    • Investigate potential options of ranging form close cooperation to creating a single organization;
    • Assumption is to preserve build-up in M4IF brand recognition, goodwill
    • Engage in discussion with MEG-7 Alliance representatives
    Pete Schirling, Jan van der Meer, Rob Koenen and Omid Moghadam are appointed as members of this Committee.

  8. Personal M4IF Membership: There have been several inquiries from individuals who would like to join and be active in M4IF. M4IF proposes to establish this type of Associate Membership, for a one-year trial period, if and only if it can be achieved without a change in the Statutes. The Board is tasked with execution of this resolution. The following applies:

    • The membership does not automatically renew;
    • Personal Membership requires Approval by the Board, who has full discretion to determine if an individual is eligible (i.e., supports M4IF's goals);
    • Personal Membership (like any membership) requires the M4IF Statutes to be signed by the individual in question.

  9. Regional Task Forces: A proposal was presented to allow the creation of three (3) regional task forces. Task Force chairs will work closely with the Board and WG chairs. These Task Forces, with their Chairs, are:
    • Europe: Sebastian Moeritz (dicas) and Stefan Geyersberger (Fraunhaofer IIS)
    • Asia Pacific: Sang-il Park (Samsung) and a member employee from Japan, to be identified
    • North America: Omid Moghadam (Intel) & Brane Zivkovic (Soundball)
    Tasks include:
    • Coordination of Attendance & Speaking opportunities at local shows and events
    • Contact with press & media in local geographic area
    • Coordination & management of marketing and recruitment efforts in each geographic region

  10. Finance Committee
    M4IF appoints the following Audit and Finance Committee:

    • Sebastian Moeritz (non-voting member)
    • Brane Zivkovic
    • Stefan Geyersberger
    • Peter Schirling

  11. Licensing: M4IF thanks Larry Horn, Marina Bosi, and Ramzi Haidamus for taking their valuable time to update those in attendance at the 10th M4IF member meeting regarding the status of licensing of the MPEG-4 technology. M4IF, however, expresses continuing disappointment and frustration in the ongoing lack of availability of licensing terms for this technology and once again urges the parties involved to come to agreement and make licensing available to industry, within a matter of a few weeks.

    M4IF resolves to organize an open poll on its website to assess interest in Systems Profiles, in MPEG-4 version 1 and all subsequent versions, both approved and pending. The purpose of this poll is informing licensors and their facilitators / administrators, so that they can take appropriate action.

    M4IF encourages parties that are in the process of establishing MPEG-4 related patent pools to enter into a process that will lead to the assessment of whether essential patents exist of the following MPEG-4 technologies:

    • FBA, as in Simple Face Animation and Simple Face and Body Animation
    • Structured Audio

    If such essential patents exist, M4IF hopes that they will be made available on Reasonable and Non-Discriminatory Terms.
    M4IF would like to be informed on the results of this process, including when no evidence is obtained that such essential patents exist.

  12. Marketing: M4IF approves the report of the Marketing WG, and the plans for the coming Fiscal Year (presentation m4-out-20022)

    The Forum thanks Shawn Ambwani for leading to work to date, and Martin Jacklin for his continuous advice and efforts in support of the group.

  13. Interop: M4IF approves the report of the Interop WG, and the plans for the coming Fiscal Year, as laid out in output document m4-out-20023. An editing period of one week is granted for completion of this document. It will be circulated for approval on the Interop WG.

  14. Sequences: M4IF is happy to learn about the activities of University of Munich to provide test sequences to the MPEG community, and encourages these activities. M4IF is prepared to contribute financially to the production of these sequences, and is happy to take care of reproduction and distribution on a cost-recovery basis. M4IF expresses its wish that at least some of the sequences contain audio in addition to video.

    M4IF thanks Klaus Diepold and Tobias Oelbaum for their efforts so far.

    M4IF recommends that the Interop WG investigate whether (some of) MPEG's Digital Cinema sequences are available for M4IF purposes.

    Place: Shanghai (tentative - if that is impossible, then Seoul or Tokyo)
    Meeting fee: TBD

  17. These resolutions, with sensitive personal data removed, will be published on the public part of M4IF's website.

  18. All meeting output, including this version of the resolutions, will be made available on the private part of M4IF's web site.

  19. A new password website will be distributed among members in good standing.
